01. The parties agree that any dispute, claim or other controversy arising from this agreement shall be settled by arbitration, according to the Brazilian Law Nº 9307/96 at Mediar São Paulo Câmara de Mediação e Arbitragem, located in the city of São Paulo, Brazil. The language to be used in the arbitral proceedings shall be Portuguese from Brazil. The documents or evidences presented at such arbitration in a language other than Portuguese shall be accompanied and translated by a certified Brazilian Translator thereof. And all the information, reports or outcomes provided by the arbitration procedures shall be translated to any other language only if the parties fully agree to. The appointed arbitrators shall be part of the list of the IMAB – Instituto de Mediação e Arbitragem do Brasil. The parties agree to the regulations of Mediar São Paulo Câmara de Mediação e Arbitragem, and expressly waives any other court as a place to settle legal matters.

1.     The parties agree that the sentence or arbitrator’s decision shall be fully applicable in accordance with the Brazilian Law 9.307/96 – article 31.
